Coaching Agreement

NoticeThese documents were drafted by the founder to describe the actual behavior of the service in plain language. They have not been reviewed by legal counsel. Counsel review is a priority and this notice will be removed when it is complete. In the meantime, these terms are intended to be honest, internally consistent, and defensible — not a substitute for professional legal advice.

This Coaching Agreement describes what you and your coach are agreeing to when you enroll in Jack Johnson Coaching. It works alongside our Terms of Service, Privacy Policy, and Refund Policy.

Between: Stoneveil Holdings LLC (“Jack Johnson Coaching”), doing business as Jack Johnson Coaching — and — you (the “member”), and, at launch, the coach: Jack Johnson.

1. Nature of the engagement

Jack Johnson Coaching is a one-on-one, whole-life personal-development engagement. Coaching may address any of the following four whole-life domains, as well as the way they interact:

  • Body, Health & Energy — sleep, training, nutrition, recovery, general lifestyle-health decisions, general supplementation education, and the daily behaviors that determine how you feel.
  • Mind, Emotion & Self-Command — self-concept, beliefs, personal narrative, standards, habits, focus, emotional patterns, discipline, and recurring vices such as alcohol, screens, food, procrastination, and avoidance.
  • Relationships, Love & Environment — partner, family, friendships, professional relationships, communication, boundaries, conflict, difficult conversations, physical space, social exposure, digital habits, and home.
  • Work, Money & Direction — career direction, business decisions, execution, leadership, professional standards, the mindset and habits that shape earning, spending, and saving, and the broader sense of purpose the work is meant to serve.

Coaching is not, and is not a substitute for, any of the following:

  • Psychotherapy, counseling, psychiatric care, or any mental-health treatment.
  • Medical diagnosis, medical treatment, or any prescribing decision.
  • Nutritional therapy or medical nutrition therapy.
  • Addiction treatment or clinical substance-use care.
  • Legal advice.
  • Tax advice or accounting services.
  • Regulated financial advice, investment advice, or brokerage services.
  • Couples therapy or clinical relational therapy.
  • Crisis support or emergency intervention.

Guidance in any domain (including but not limited to health, business, money, and relationships) is general in nature and is not a substitute for advice from a licensed professional. If a decision or situation calls for specialized professional expertise, the coach will identify that and refer you to an appropriately licensed professional. You are responsible for engaging any licensed professional you decide to work with, and for the outcomes of those engagements.

At launch, all coaching is delivered personally by Jack Johnson. If Jack Johnson Coaching adds another coach in the future, the new coach will be identified and disclosed to you before you are asked to work with them.

If you are in crisis, contact 988, 911, or your local emergency service. Coaching is not appropriate for active crisis. Coaching works best when you are stable enough to engage with self-directed work; if you become aware that you need clinical care during the engagement, we ask you to seek it in addition to (or instead of) coaching and to tell your coach so the engagement can be adjusted appropriately.

2. Session cadence and format

At launch, coaching includes one one-on-one session per week with the coach. Session duration is not fixed — sessions may be shorter or longer than a standard hour depending on what the work requires that week.

Sessions are conducted by video call unless you and the coach agree otherwise. Session links and scheduling are handled through the Portal and Google Calendar.

You can send written messages to the coach through the Portal at any time. The coach responds within a reasonable time during normal working hours, typically within two business days. The Portal is not a real-time chat service; do not rely on the Portal for urgent matters or emergencies.

Rescheduling: You may reschedule a session at any time before its scheduled start using the scheduling control in your Portal or by emailing the coach. Late rescheduling and missed sessions may not be made up if the schedule cannot accommodate them; this is at the coach’s reasonable discretion.

3. Confidentiality

The coach maintains confidentiality of your Portal content, session discussions, and coaching notes.

Confidentiality is a coaching commitment — not a legal privilege. Unlike attorney-client or licensed-therapist communications, coaching communications are not legally privileged. This matters if you are ever subpoenaed or if the coach is ever subpoenaed regarding matters discussed in coaching.

Exceptions to confidentiality

  • You direct disclosure. You may direct the coach to share information with someone specific (e.g., a family member, another professional). The coach follows your direction.
  • Legal compulsion. The coach may disclose information if required by valid legal process (subpoena, court order, government request with force of law). When possible and legally permitted, we notify you before responding.
  • Risk of imminent harm. If the coach reasonably believes you or another person is at imminent risk of serious harm, the coach may disclose the minimum necessary information to prevent that harm (for example, contacting emergency services). This is a coaching-common-sense exception, not a mandated-reporter obligation of the kind that binds licensed therapists.
  • Company operations. Portal content is stored and processed by our vendors as described in the Privacy Policy. Break-glass administrator access follows the procedure disclosed in that policy.

Recording

Coaching sessions are not recorded by default. Any recording of audio, video, or transcript requires the coach’s separate, informed consent for that specific session — and, if you are on the call, your consent as well. Your Portal content will not be submitted to any third-party artificial-intelligence, transcription, or summarization service without your specific informed consent.

4. Member responsibilities

To get the value out of coaching, you agree to:

  • Show up. Attend scheduled sessions on time or reschedule with reasonable notice.
  • Be honest. Coaching only works if what you tell the coach is accurate. You do not have to share everything, but what you do share should be true.
  • Do the work. Coaching produces outcomes only when you take action between sessions. The coach does not do the work for you.
  • Recognize when coaching is not enough. If a topic requires clinical care, legal advice, medical care, or another form of professional help, seek that help. Tell the coach if you would like the engagement adjusted around it.
  • Not use the service in a crisis. If you are in an active mental-health or medical crisis, contact 988, 911, or your local emergency service. Do not rely on Portal messages or the next scheduled session for crisis response.
  • Keep account information current. Update your contact and payment information when it changes.

5. Coach responsibilities

The coach agrees to:

  • Be prepared. Come to sessions having reviewed relevant Portal content and prior notes.
  • Be honest. Tell you what the coach actually thinks, even when it is not what you want to hear.
  • Respect the scope. Not offer clinical, medical, legal, or financial advice. Point you to appropriate professionals when a topic is out of scope.
  • Respect confidentiality. Follow the confidentiality commitments in Section 3.
  • Respond in reasonable time. Reply to Portal messages within a reasonable business window, typically two business days.
  • Not misuse administrative access. Not use administrator privileges to read your coaching content as a matter of routine. Any emergency administrator access follows the break-glass procedure in the Privacy Policy.
  • Not use your content publicly. Not publish, quote, share publicly, or use your Portal content or session content in marketing without your separate, explicit written permission for that specific use.

6. Coach unavailability

The coach will need to be unavailable from time to time due to travel, illness, family matters, or other reasonable causes.

  • Planned unavailability (vacation, scheduled events): The coach gives at least 14 days’ notice in the Portal and proposes rescheduling options.
  • Unplanned unavailability (illness, emergency): The coach notifies you as soon as reasonably possible and proposes rescheduling options.
  • Extended unavailability: If the coach becomes unable to deliver coaching for more than 2 consecutive weeks, we will either pause your billing for the missed weeks or credit you the equivalent value, at your choice.

Coach unavailability does not affect your ability to cancel or request a refund per the Refund Policy.

7. Discontinuation of the engagement

Either party may end the engagement:

  • You may cancel at any time. See Section 8 of the Terms of Service and the Refund Policy.
  • The coach or Jack Johnson Coaching may end the engagement with reasonable notice if the working relationship becomes unproductive, if you violate the Terms of Service, or if the coach reasonably believes coaching is no longer appropriate for you (for example, if you would be better served by clinical care).
  • Immediate termination may occur if you engage in abusive or harassing behavior, if payment fails and cannot be resolved, or if we are required by law to end the engagement.

On termination, your Portal access ends per the Terms of Service, and data is retained per the schedule in the Privacy Policy.

8. Records

The following records are kept and retained per the Privacy Policy:

  • Portal messages (retained per Portal content schedule)
  • Coaching notes written by the coach (retained 3 years after last session)
  • Scheduling records (retained 3 years)
  • Recordings, if any (retained only if separately consented; retention terms set at the time of consent)

You may request access to, correction of, or deletion of your records at any time by contacting jack@jackjohnsoncoaching.com. Deletion requests are honored within 30 days, subject to legal retention obligations.
