Terms of Service

NoticeThese documents were drafted by the founder to describe the actual behavior of the service in plain language. They have not been reviewed by legal counsel. Counsel review is a priority and this notice will be removed when it is complete. In the meantime, these terms are intended to be honest, internally consistent, and defensible — not a substitute for professional legal advice.

1. Parties, brand, and acceptance

These Terms of Service govern your use of Jack Johnson Coaching, offered by Stoneveil Holdings LLC, a Wyoming limited liability company with a mailing address at 30 N Gould St #51730, Sheridan, WY 82801 (“we,” “us,” “Jack Johnson Coaching”). The service is offered under the trade name “Jack Johnson Coaching,” a d/b/a of Stoneveil Holdings LLC. By creating an account, submitting the consent acknowledgments, or paying for a subscription, you agree to these Terms.

If you do not agree to any part of these Terms, do not enroll and do not use the service.

2. Eligibility and supported jurisdictions

You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction to use Jack Johnson Coaching.

At launch, Jack Johnson Coaching is offered only to residents of the United States, including all 50 states and the District of Columbia. We do not currently accept members located outside the United States. Checkout is restricted by billing address and, where available, by IP address. If you attempt to enroll from an unsupported jurisdiction, your enrollment will not be completed and any provisional data will be deleted per the retention schedule in our Privacy Policy.

You represent that the information you provide during enrollment is accurate and that you are enrolling on your own behalf, not on behalf of another person.

3. Description and scope of Jack Johnson Coaching

Jack Johnson Coaching is a month-to-month, one-on-one personal-development and life-coaching service for adults. Coaching may address goals, habits, decision-making, work, relationships, personal standards, health-related behaviors, and life direction.

Coaching includes one weekly one-on-one session with the coach and written support through the secure Portal. Session duration is not fixed; sessions may be shorter or longer depending on what the work requires.

At launch, the coach is Jack Johnson. The service is designed to accommodate additional coaches in the future; no other coaches are represented as available unless and until they are added to the service.

We do not guarantee any specific outcome. What you get out of coaching depends substantially on your own engagement, honesty, and effort.

4. Coaching is not therapy, medical care, psychiatric care, or crisis support

Jack Johnson Coaching is not psychotherapy, psychiatric care, medical diagnosis or treatment, nutritional treatment, legal advice, financial advice, or crisis services. The coach is not acting as a licensed mental-health professional, physician, dietitian, lawyer, or financial advisor.

If you are experiencing a mental-health crisis, are in danger of harming yourself or others, or need immediate medical attention, contact 988 (Suicide & Crisis Lifeline), 911 (emergency services), or your local emergency number. Jack Johnson Coaching is not a substitute for and does not provide these services.

If you have a medical, psychiatric, or psychological condition that could be affected by the topics discussed in coaching, we recommend you consult a qualified licensed professional in addition to any coaching engagement.

5. Account creation, authentication, and Portal access

Enrollment creates a member account that provides access to the secure Portal, where you can send and receive messages with your coach, complete onboarding steps, view coaching priorities, and manage your account.

Sign-in uses a magic-link mechanism sent to the email address you provide at enrollment. You are responsible for keeping that email account secure. You are responsible for all activity that occurs under your account.

If you believe your account has been accessed by someone else, notify us immediately at jack@jackjohnsoncoaching.com so we can invalidate active sessions.

You may not share your Portal access, credentials, or magic-link with anyone else, including a spouse, family member, or agent.

6. Subscription, recurring billing, and payment authorization

Jack Johnson Coaching costs $1,500 US dollars per month. Billing is monthly, charged on the anniversary of your initial charge, and continues until you cancel.

By enrolling you authorize Stripe, our payment processor, to charge your payment method for the initial charge and for each subsequent monthly charge until you cancel. This is a recurring subscription and will renew automatically each month.

We will send a receipt for each charge to the email address on your account. Failed payments may result in a temporary hold on Portal access; if a failed payment cannot be resolved within 10 days, your membership may be cancelled and your seat released.

Prices are subject to change with at least 60 days’ notice sent to the email address on your account. Price changes take effect at your next billing anniversary after the notice period. If you do not agree to a price change, you may cancel before the new price takes effect.

7. Capacity and service availability

Jack Johnson Coaching operates with a limited concurrent-member capacity. At launch, capacity is 10 concurrent members. When capacity is full, enrollment closes and prospective members are added to a waitlist.

We do not guarantee continuous, uninterrupted availability of the Portal or coaching sessions. Scheduled maintenance, vendor outages, illness, travel, or emergency situations may temporarily interrupt the service. See Section 15 for how we handle coach unavailability.

8. Cancellation and effect on access

You may cancel your membership at any time by using the cancellation control in your Portal or by emailing jack@jackjohnsoncoaching.com. Cancellation is effective at the end of your current paid billing period. You will retain full Portal access and one weekly session through the end of that period, and you will not be charged again.

Cancellation does not by itself trigger a refund. See our Refund Policy for refund eligibility.

9. Refund Policy incorporation

Our Refund Policy is incorporated into these Terms by reference. By enrolling you acknowledge that you have read and agree to the Refund Policy.

10. Member responsibilities and accurate information

You agree to:

  • Provide accurate, current, and complete information during enrollment and to keep that information up to date.
  • Show up to scheduled sessions or reschedule with reasonable notice.
  • Communicate honestly with your coach.
  • Not use the service if you are in an active mental-health crisis; instead contact 988, 911, or your local emergency service.
  • Comply with these Terms and any additional policies posted in the Portal.

11. Acceptable use and prohibited conduct

You may not:

  • Share your Portal access or credentials with any other person.
  • Reproduce, redistribute, publish, or resell the coaching content, materials, methodology, curriculum, or any Portal content.
  • Record any coaching session without the coach’s prior separate consent for that specific session.
  • Submit any material to the Portal that is unlawful, infringes another person’s rights, harasses or threatens any person, or contains malware.
  • Attempt to interfere with the security or normal operation of the Portal, including any attempt to access another member’s account or content.
  • Use the service for any purpose that is not the personal coaching engagement described here.

Violating this section may result in immediate suspension or termination of your membership.

12. Member content and confidentiality framework

You retain ownership of what you write and share in the Portal. This includes your onboarding responses, reflections, Portal messages, and any other content you create.

Your coach maintains confidentiality of your Portal content, subject to the exceptions described in the Coaching Agreement and Privacy Policy. Confidentiality is a coaching commitment, not legal privilege — coaching is not a legally privileged communication in the way that attorney-client or licensed-therapist communications are.

By submitting content to the Portal you grant Stoneveil Holdings LLC a limited license to store, process, and display that content solely for the purpose of providing the service to you. We will not use your content for marketing, advertising, artificial-intelligence training, or any other purpose without your separate, explicit written permission for that specific use.

13. Intellectual property and license to member materials

Jack Johnson Coaching’s materials — including the methodology, curriculum, canon materials, Ten Questions framework, Personal Tenets framework, Portal user interface, brand assets, wordmark, and any written or visual materials provided to you as part of the service — are the property of Stoneveil Holdings LLC or its licensors.

You are granted a limited, non-transferable, non-exclusive license to access and use these materials solely for your personal coaching engagement while your membership is active. This license ends when your membership ends.

You may not reproduce, redistribute, publish, teach from, or create derivative works based on these materials without our prior written permission.

14. Third-party services and vendor dependencies

Jack Johnson Coaching depends on third-party services to operate, including Stripe (payments), Supabase (database and authentication), Vercel (hosting), Cloudflare (DNS and edge security), Resend (email), and Google Calendar (scheduling). Your use of Jack Johnson Coaching is subject to those providers’ terms and privacy practices where applicable.

We select vendors carefully but do not control their operations. We are not liable for third-party outages, security incidents, or terms changes beyond our reasonable control.

15. No guarantees; disclaimers

We provide the service “as is” and “as available.” We do not warrant that the service will be uninterrupted, error-free, or that any specific outcome will result from coaching.

We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.

Nothing in this section is intended to limit any right you have under mandatory consumer-protection law that cannot be waived by agreement.

16. Limitation of liability

To the fullest extent permitted by law, Stoneveil Holdings LLC and Jack Johnson personally will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to Jack Johnson Coaching, including without limitation lost profits, lost data, or emotional distress.

Our total aggregate liability to you for any and all claims arising out of or related to Jack Johnson Coaching will not exceed the amount you paid us in the 6 months preceding the event giving rise to the claim, or $1,500, whichever is greater.

This limitation does not apply to (a) claims that cannot be limited by law, (b) our gross negligence or willful misconduct, or (c) our indemnification obligations, if any.

17. Suspension and termination

We may suspend or terminate your membership immediately, with or without notice, if:

  • You violate these Terms or any policy incorporated by reference;
  • You engage in fraudulent, abusive, or harassing behavior;
  • Payment fails and cannot be resolved within 10 days;
  • We are required to do so by law;
  • We reasonably believe that continued service would create a risk to you or to us.

On suspension or termination, your Portal access ends. Data retention on termination follows the schedule in the Privacy Policy.

You may end your own membership at any time by cancelling. See Section 8.

18. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflicts-of-law principles. Any dispute arising out of or related to these Terms or Jack Johnson Coaching will be brought exclusively in the state or federal courts sitting in Sheridan County, Wyoming, and you and we consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking urgent equitable relief in any court of competent jurisdiction.

19. Changes, versioning, and notice

We may update these Terms from time to time. Each version is labeled with a version number (e.g., v1.0) and an effective date shown in the header.

Material changes

Material changes — including changes to price, refund policy, cancellation, data practices, or scope of coaching — will be communicated by email at least 30 days before they take effect. When you next sign in to the Portal after a material change, you will be asked to re-acknowledge the updated Terms.

Non-material changes

Non-material changes — including clarifications, typographical corrections, or updates to sub-processor lists — will be noted in the Portal with 7 days’ notice before taking effect.

Your continued use of the service after a change takes effect indicates your acceptance of the change. If you do not accept a change, you may cancel your membership before it takes effect.

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms are the entire agreement between you and us regarding Jack Johnson Coaching and supersede any prior discussions or agreements on the same subject.

One-on-one coaching with Jack Johnson across your health, habits, mindset, relationships, work, money, self, and direction.

$1,500 per month. Month to month. Cancel anytime before the next billing date. Jack recommends beginning with at least 90 days.
